This End User Licence Agreement (“Agreement”) is a binding legal agreement between you (“User”, “you”) and Equin Limited (“we”, “us”, “our”), governing your access to and use of our web-based software and platform (“Software”) provided via https://app.insighttracking.com (the “Platform”).

By clicking “Accept” or otherwise using the Software, you confirm that you have read, understood and agree to be bound by the terms of this Agreement.

1. Licence Grant

1.1 Subject to the terms of this Agreement, we grant you a personal, non-exclusive, non-transferable, revocable licence, without the right to sub-license, to access and use the Software via your authorised account solely for legitimate, authorised organisational purposes.

1.2 You shall not:

  • Allow anyone else to access the Software using your credentials;
  • Copy, modify, or create derivative works from the Software;
  • Decompile, reverse-engineer, disassemble, or otherwise attempt to derive the source code;
  • Use the Software to build a competing service or product;
  • Remove or obscure any proprietary notices, labels, or marks on the Software.

2. Acceptable Use

2.1 You agree to use the Software only for lawful purposes and in accordance with applicable laws. You shall not:

  • Use the Software in a way that breaches any local, national or international law or regulation;
  • Transmit any material that is unlawful, defamatory, offensive, or otherwise objectionable;
  • Introduce or distribute viruses, malware, or any other harmful code or technologies;

2.2 We may suspend or revoke your access immediately and without liability if you breach this Agreement or misuse the Platform.

3. Intellectual Property

3.1 All intellectual property rights in and to the Software (including all code, content, structure, and documentation) are owned by or licensed to us and are protected by copyright and other laws.

3.2 No rights are granted to you other than those expressly set out in this Agreement. This Agreement does not convey any ownership rights in the Software.

4. Confidentiality and Data Handling

4.1 You acknowledge that, through your use of the Software, you may have access to confidential or sensitive information, including personal data and internal records.

4.2 You agree to:

  • Treat such information as confidential and not disclose it to unauthorised parties;
  • Use such information only for legitimate, authorised purposes within the scope of your role;
  • Comply with applicable data handling and security policies issued by your organisation or relevant authority.

4.3 Misuse, unauthorised disclosure, or negligent handling of such information may result in suspension of your access and may have legal or disciplinary consequences.

5. Indemnification

5.1 You agree to indemnify, defend and hold harmless us and our affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use or misuse of the Software;
  • Your violation of this Agreement;
  • Any unauthorised or unlawful actions taken using your user account.

5.2 We reserve the right to assume the exclusive defence and control of any matter subject to indemnification. You agree to cooperate fully in such defence.

6. Warranty Disclaimer

6.1 The Software is provided “as is” and without warranties of any kind. We do not warrant that:

  • The Software will be uninterrupted, secure, or error-free;
  • The Software will meet your individual expectations or requirements.

6.2 To the fullest extent permitted by law, we exclude all warranties, whether express or implied, including any warranties of fitness for a particular purpose, merchantability, or non-infringement.

7. Changes to this Agreement

7.1 We may update or amend this Agreement at any time. Any material changes will be communicated to you via the login screen or within the Platform. Continued use of the Software after such notice constitutes your acceptance of the amended terms.

8. Governing Law and Jurisdiction

8.1 This Agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales.

8.2 The courts of England and Wales shall have exclusive jurisdiction, except that we reserve the right to bring proceedings in any other jurisdiction where required by law or to enforce our rights.
